12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms or the Website shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

You and SunStone Secure agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Mateo County, California, for the purpose of litigating all such disputes. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at help@sunstonesecure.com to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Website informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days after submission, you or SunStone Secure may bring a formal proceeding.

13.2 Class Action Waiver

YOU AND SUNSTONE SECURE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and SunStone Secure agree otherwise, the court may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SunStone Secure regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

14.2 Severability

SunStone Secure shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and SunStone Secure. You have no authority to bind SunStone Secure in any respect whatsoever.
